股票投资需要怎样的收益——上市公司分红不宜一刀切

　　为进一步健全上市公司常态化分红机制，提高投资者回报水平，2023年12月15日，证监会发布《上市公司监管指引第3号——上市公司现金分红》（以下简称《现金分红指引》），沪深证券交易所同步修改完善规范运作指引，明确操作性要求。

　　《现金分红指引》修订内容主要有三个方面：一是进一步明确鼓励现金分红导向，推动提高分红水平。对不分红的公司加强披露要求等制度约束督促分红。对财务投资较多但分红水平偏低的公司进行重点监管关注，督促提高分红水平，专注主业。二是简化中期分红程序，推动进一步优化分红方式和节奏。鼓励公司在条件允许的情况下增加分红频次，结合监管实践，允许上市公司在召开年度股东大会审议年度利润分配方案时，在一定额度内审议批准下一年中期现金分红条件和上限，便利公司进一步提升分红频次，让投资者更好规划资金安排，更早分享企业成长红利。三是加强对异常高比例分红企业的约束，引导合理分红。强调上市公司制定现金分红政策时，应综合考虑自身盈利水平、资金支出安排和债务偿还能力，兼顾投资者回报和公司发展。对资产负债率较高且经营活动现金流量不佳，存在例现金分红情形的公司保持重点关注，防止对企业生产经营、偿债能力产生不利影响。

　　总体看，强化分红对股东获取现金收益有好处，但在具体执行中，还是应该具体公司具体分析，不宜一刀切。毕竟：第一，分红与否、分红多少应当是股东权益，要依据公司具体营业情况和需要确定。著名投资家沃伦·巴菲特就认为，好公司一定有很好的经营者，他们给定的投资方向，收益率往往高于分红带给投资者的收益率，为什么不把钱交给这样的经营者去投资，而要分红？

　　我们应该看到，一些股票投资者确实更在意的是公司价值不断提升，并推动股价的不断上涨。从国际普遍情况看，股票大致分为两类：其一是成长类公司，这类公司因为成长而用钱较多，但会随着投入增长而大幅提升公司价值，所以这类公司投资者一般不会在意分红，而更看重价值成长性；其二是蓝筹股公司，这类公司已经过了成长期，而进入稳定收益阶段，比如银行、石油公司、钢铁公司等，如果投资者投资这类公司，一般是希望得到分红收益的。

　　第二，现金分红之后，股价按分红金额除权，但因为分红所得税的实际存在，股价除权的一瞬间，投资者会因分红而损失市值。

　　所以，对现金分红不宜一刀切，而应当把决策权交给中小投资者。比如，规定上市公司分红与否必须得到一定比例中小投资者赞同。如此，一来可以强化中小投资者参与公司经营的必然性，从而强化公司治理；二来可以体现监管者维护中小投资者合法权益的信念；三来可以避免一刀切分红要求所带给吸引力的弱化。

　　所以在此建议，对上市公司分红不要一刀切，而是把选择权交给投资者，这恐怕更符合市场化改革方向。
